I've fallen in love with my good friend

I have recently fallen in love with a good friend of mine. We met and became friends at our place of employment over 4 years ago, we worked in very different departments at the same company. Outside of work every time we went out it was very "date like" and 90% of the time it was just her and I going out to dinner or a movie. Again this is over the course of 4 years, we became very close. About 4 months ago a close family member of mine took his own life, she was there for me everyday, shortly following that she left the company and I began to realize how much she meant to me. I didn't tell her how I was starting to feel for fear of losing a friendship I valued very highly. She recently started seeing someone and I told I needed to spend sometime away from her because of it; her response was "I'm sorry to hear that, I understand you need your space but please don't shut me out forever." I am considering telling her the following: "When you left COMPANY NAME I was heartbroken, the thought of not seeing almost everyday was debilitating at time. Not knowing whether the loss of my uncle was compounding those fearfully depressing caused me a great deal of frustration and confusion. But when you told me you started seeing someone my heart broke again, this time into more pieces then I had able to pick back up in the month that had passed before seeing you again on your birthday. As far as my head being straight, it is, I've put why too much thought into this and have come to the same conclusion too many times to second guess myself. I know how I feel about you." I don't know if I should walk away from her completely or tell her how I feel. I don't want to hurt her by walking away but I don't know if I can be just friends with her anymore. HELP!
